Joint Ventures & Vendor Finance NSW.
Joint Ventures & Vendor Finance
Straightforward development partnerships for landowners, builders and owners who have hit a wall.
A lot of people across Sydney and NSW own land that is worth far more developed than it is sitting still. Most have never done a development. Many don't want to take on a multi-million dollar construction loan on their own. Others bought in the last few years, have watched holding costs climb as the market cooled, and now can't fund the next step.
That is where Blackark comes in. We bring the development experience, the consultants, the lender relationships and the project management. You bring the land. Together we agree a structure that suits your situation, whether that means selling on flexible terms or staying in and sharing the profit.
Who It's For
You own land but have never developed
You own a house on a big block, acreage, a farm or a site that has been rezoned. You know it has potential but you don't know where to start, and you don't want to borrow millions to find out. We handle everything from feasibility and DA approval through to construction and sales, and you stay as involved as you want to be.
You're a builder who owns a site
You know how to build. Running a development is a different job: feasibility, planning, consultants, finance, marketing and sales. We manage the development side and arrange project funding using the site as security. You build the townhouses, duplexes or homes. We share the profit.
Your project has stalled or you're stretched
You bought in the last few years and paid top dollar. Interest and holding costs have gone up, the market has cooled, and the bank won't fund the next stage. Maybe the DA is approved but construction finance fell through, or you've simply run out of equity. Before you sell at a loss, talk to us. A partner with fresh capital, lender relationships and delivery experience can often get a project moving again.
You're an agent with a listing that won't sell
You've got a development site listed and it isn't moving. Maybe the vendor's price expectations are ahead of what cash buyers are offering. Maybe the site itself is the problem: contamination, access, easements, servicing, or a DA that's harder than it looks. Sometimes it's both. A vendor finance purchase or a joint venture can bridge a price gap or take on risk a straight sale can't. The vendor still gets an agreed outcome, and you still earn your commission when it settles.
Deal Structures
Option 01
Joint Venture: keep a share and split the profit
You don't sell. Your land goes into the project at an agreed value and you remain an owner, either on title or as a shareholder in the joint venture company. Blackark comes in as your development partner and runs the whole project. Once it's finished and the debt and costs are repaid, the net profit is split on the agreed terms, often 50/50.
Best for: owners who want the development upside and are happy to wait for it.
Option 02
Sale with Vendor Finance: paid upfront, the rest later
Blackark buys your property at an agreed price. You receive a large part of it at settlement, for example half, and the balance is paid on an agreed date, typically within a few years. That deferred balance is a loan from you to us (vendor finance), documented formally with its interest and security agreed up front. You get a fixed price and a clear exit without developing anything yourself.
Best for: owners who want certainty and a set price, and can wait for part of the money.
Option 03
Builder Joint Venture: you build, we develop
Your site goes into the joint venture and can be used as security for project funding. Blackark manages the development from feasibility and design through DA approval, finance, marketing and sales. Your company builds the project under a construction contract. When it's complete and the lender is repaid, the net profit is shared on the split agreed at the start.
Best for: builders with land who want to develop, without taking on the development side themselves.

An Example
Take a site with an agreed value of $10 million. Here's how the first two options work.
Vendor Finance
| Agreed purchase price | $10,000,000 |
| Paid to you at settlement (50%) | $5,000,000 |
| Deferred balance paid on the agreed date (50%) | $5,000,000 |
Joint Venture
| Agreed land value (your contribution) | $10,000,000 |
| Ownership | 50 / 50 |
| Debt, equity and major decisions | Shared 50 / 50 |
| Net profit after debt and costs are repaid | Split 50 / 50 |
These figures are for illustration only. Every site is different, and the price, percentages, timing, interest and security are negotiated deal by deal.

Submit Your Site
It takes two minutes, it's confidential and there's no obligation. We personally review every submission and come back to you with an honest first view of what the site could become.
We're looking for properties valued at $5 million or more, anywhere in NSW within about three hours of Sydney. DA-approved sites preferred.
Common Questions
Do I need any development experience to do a joint venture with Blackark?
No. Most of the owners we talk to have never done a development. Blackark runs the feasibility, approvals, consultants, funding, construction and sales, and keeps you updated at every stage. You decide how involved you want to be.
Will I have to put money in?
In a vendor finance sale, no: you are selling, not investing. In a joint venture your land is usually your main contribution and the rest of the funding comes from lenders we arrange. Debt, guarantees and any further equity are shared in agreed proportions, and every obligation is set out in writing and agreed with you before anything is signed with a lender.
What protects me if I accept vendor finance?
The deferred balance is documented in a formal vendor finance agreement, with the interest rate, repayment date and security (for example a registered mortgage or other agreed protections, subject to the senior lender's requirements) negotiated before you commit. You also get your own independent legal and financial advice before signing anything.
I'm a builder with land. How does a builder joint venture work?
Your site goes into the joint venture and can be used as security for project funding. Blackark manages the development side: feasibility, design, DA approval, finance, marketing and sales. Your company builds the project under a construction contract. When the project is complete and the debt and costs are repaid, the net profit is shared on the split agreed at the start.
What kind of properties suit a joint venture or vendor finance deal?
We look at properties with a minimum value of $5 million. That includes houses on large blocks, acreage, rezoned or soon-to-be-rezoned land, and sites that already have a DA but have stalled. Projects can be townhouses, dual occupancies, duplexes, subdivisions, commercial or industrial developments. We look at land across Sydney and NSW, with a focus on Western Sydney and the growth corridors.
Do you prefer sites that already have a DA approval?
Yes. DA-approved sites are our preference. The planning risk has already been dealt with, lenders are more comfortable funding them and the project can move to construction sooner, which usually means a quicker, simpler deal for you. We still consider sites without an approval and can take them through the DA process ourselves.
How long does a deal take?
A vendor finance sale usually settles a few months after exchange, once due diligence is complete, with the deferred balance paid on the agreed date. A joint venture runs for the life of the project, which for townhouse, duplex and subdivision projects is often two to four years depending on approvals and size.
What does it cost to find out if my site is suitable?
Nothing. The first conversation and our initial review of the site are free, confidential and carry no obligation. If the site works, we put a written proposal in front of you.
I'm an agent, not the owner. How does this work?
The same way as any other sale. Tell us about the site and what's holding it up, whether that's the vendor's price or something about the site itself. If a vendor finance purchase or a joint venture can bridge the gap, we put a written offer or proposal to the vendor through you. You act as the vendor's agent throughout and are paid your commission in the usual way when the deal settles.
Sitting on land you can't develop alone?
Tell us about the site. We'll give you an honest view of what it could become and which structure, if any, makes sense for you. Confidential, and no obligation. Prefer to talk first? Call 0456 686 679.
